Samvardhana Motherson Automotive Systems Group BV, a wholly owned subsidiary of Samvardhana Motherson International Ltd., will acquire Japan-based company Atsumi Tech for $57 million. The company’s shares rose more than 4% intraday following Friday’s announcement.
The transaction, which will be completed in multiple stages, will see Motherson acquire 95% of Atsumitech’s voting shares. Honda will hold the remaining 5%.
Atsumi Tech operates in multiple countries including Japan, Thailand, and the United States, and specializes in producing high-precision machined parts such as shift levers and transmission parts for automobiles and motorcycles.
The acquisition is part of Samvardhana Motherson’s strategy to increase its share of business with Japanese original equipment manufacturers and diversify its product portfolio. The move will also increase Motherson’s presence in key markets, particularly Vietnam, and provide access to global metal and machining capabilities.
The transaction is subject to merger control clearance from Japanese authorities and is subject to several regulatory measures, including a share buyback from Honda Motor and the acquisition of Atsumi Tech’s Indonesian unit, and is expected to close by the first quarter of 2026. It is scheduled to be completed.
